AVP Funds Company Secretary
An established and growing professional services firm is seeking an experienced Company Secretary with regulated funds experience to join its expanding Corporate Services team. This is an excellent opportunity for a senior professional to work within a high-performing, client-focused environment, supporting a portfolio of regulated funds and Irish corporate entities.
The successful candidate will join a team of experienced professionals from company secretarial, legal, compliance, accounting and governance backgrounds, delivering high-quality corporate governance and company secretarial services to a diverse client base.
Key Responsibilities
Responsibilities will include:
- Acting as the primary company secretarial contact for a portfolio of regulated funds and Irish companies.
- Coordinating annual board calendars and scheduling meetings with directors.
- Preparing board agendas, ensuring all statutory and regulatory requirements are addressed.
- Compiling and distributing board packs within agreed timelines.
- Managing all board meeting logistics.
- Attending board meetings and preparing accurate, detailed minutes.
- Drafting and circulating meeting minutes and action points promptly.
- Supporting shareholder and general meetings, including notices, proxy administration and governance requirements.
- Preparing and submitting statutory filings to the Companies Registration Office and the Central Bank of Ireland, where applicable.
- Maintaining statutory registers and corporate records.
- Supervising, mentoring and supporting junior team members.
- Assisting with training and development across the team.
- Ensuring compliance with internal policies, procedures and governance standards.
- Building and maintaining strong relationships with clients and key stakeholders.
- Contributing to internal projects, process improvements and wider business initiatives.
Skills & Experience
The ideal candidate will have:
- A minimum of 5 years' experience as a Company Secretary within the regulated funds industry.
- Strong knowledge of the Companies Act and corporate governance requirements applicable to regulated entities.
- Experience working in a fast-paced professional services environment with exceptional attention to detail.
- Proven ability to manage client and stakeholder relationships effectively.
- Strong organisational and communication skills with the ability to prioritise multiple deadlines.
- Proficiency in Microsoft Office applications and PDF document management.
- A proactive, resourceful approach with the ability to work independently and as part of a collaborative team.
- A commitment to delivering an exceptional client service experience.
