A leading global organisation is seeking an experienced Company Secretary to join their Corporate Secretary department in Dublin on a 1-year fixed-term contract. What you'll do:

As Company Secretary, you will support a diverse portfolio of owned and managed entities worldwide, ensuring the highest standards of corporate governance and compliance are maintained.

You will:

  • Provide efficient, effective, and high-quality company secretarial and corporate governance support to a broad portfolio of owned and managed entities across multiple jurisdictions.
  • Maintain statutory registers, minute books, and other essential corporate records with meticulous attention to detail.
  • Ensure timely completion of all company secretarial compliance tasks as well as regulatory and statutory filings in accordance with relevant deadlines.
  • Arrange transaction-related corporate approvals and oversee execution of transaction documents in line with constitutional documents, applicable legislation, and internal governance frameworks.
  • Manage quarterly and ad-hoc board meeting processes by liaising with stakeholders, collating and distributing board and committee papers, taking minutes, drafting resolutions, and finalising documentation promptly.
  • Contribute actively to cross-departmental projects by collaborating closely with colleagues in global locations to ensure seamless business operations.
  • Monitor changes in relevant legislation and regulatory environments; provide timely advice to boards of directors regarding company secretarial or corporate governance issues or updates.
  • Incorporate new group companies or dissolve existing ones as required by business needs while ensuring full compliance throughout each process.
  • Liaise effectively with internal departments such as legal, finance, external auditors, legal counsels, and third-party company secretarial service providers to facilitate smooth operations.

What you bring:

To excel in this role, you will have:

  • Chartered Governance Institute qualification (or equivalent) with experience in a similar company secretarial role within a complex organisational structure.
  • Demonstrated expertise in minute taking for board meetings or committees within regulated environments.
  • Comprehensive knowledge of the Companies Act 2014 as well as practical experience using company secretarial databases such as Diligent Entities or similar platforms.
  • Exceptional organisational skills with proven ability to manage multiple projects simultaneously while maintaining accuracy under pressure.
  • Strong interpersonal skills enabling effective collaboration with internal stakeholders across departments as well as external advisors including auditors and legal counsel.
  • Proactive approach to monitoring legislative changes affecting corporate governance requirements; ability to communicate implications clearly to senior management or boards.
  • Meticulous attention to detail when maintaining statutory registers or preparing official documentation for regulatory filings or board meetings.
  • Adaptability when responding to shifting priorities or urgent requests within tight deadlines without compromising quality standards.
  • Commitment to upholding values of respect, inclusion, and teamwork within a high-performance environment.
