What you'll do:

As Group Company Secretary, you will play an integral role in shaping the organisation’s approach to corporate governance.

Responsibilities:

  • Lead the development and implementation of robust corporate governance practices for the Irish group to ensure full compliance with evolving legal and regulatory standards.
  • Advise boards on governance matters by providing insights into best practices and emerging trends within corporate governance frameworks.
  • Organise and facilitate board and committee meetings by preparing structured agendas and ensuring timely distribution of all necessary documentation.
  • Offer strategic advice to boards on governance issues, risk management considerations, and effective decision-making processes.
  • Oversee all logistical aspects of board and committee meetings with the support of the Assistant Company Secretary, including liaising with report producers, drafting minutes, managing updates on outstanding actions, and distributing meeting materials.
  • Maintain statutory records and minute books while ensuring compliance with Companies Registration Office filing obligations.
  • Support intra-group projects such as liquidations, cash repatriation initiatives, restructuring activities, and capital reorganisations by providing expert governance guidance.
  • Drive quality and timeliness in all governance-related activities by monitoring statutory filings and compliance requirements to ensure prompt completion.
  • Mentor and develop the Assistant Company Secretary by offering guidance on best practices in corporate governance and overseeing their training and professional development.
  • Act as a key liaison between boards, management teams, shareholders, and stakeholders to facilitate effective communication and collaboration.

What you bring:

  • Demonstrated experience as a Company Secretary within financial services other relevant sectors is essential for success in this role.
  • A university undergraduate degree or equivalent qualification is required to meet the academic standards expected for this position.
  • Comprehensive understanding of the regulatory environment in Ireland with hands-on experience navigating regulations issued by the Central Bank of Ireland or other independent EU authorities.
  • Extensive background in company secretarial roles with deep knowledge of corporate governance principles applied across complex organisational structures.
  • Proven ability to support boards effectively through excellent written and verbal communication skills combined with strong interpersonal abilities.
  • Exceptional organisational skills paired with meticulous attention to detail enable you to manage multiple priorities while meeting tight deadlines consistently.
  • Experience advising boards on governance issues including risk management strategies enhances your suitability for this position.
  • A track record of mentoring or developing junior staff members is highly desirable as it demonstrates your commitment to nurturing talent within the team.
