Corporate Solicitor - In-house PLC

Our very exciting and exclusive Plc client is seeking a talented and motivated Corporate Solicitor to join the Group Head Office of a FTSE-250 listed plc headquartered in Dublin. As a Corporate Solicitor, you will play a crucial role in delivering an efficient and effective legal service, ensuring compliance with company law, stock exchange rules, and corporate governance guidelines.

Reporting to the General Counsel/Group Company Secretary, the successful candidate will be a collaborative team player with solid technical legal knowledge, exceptional organizational skills, and excellent communication abilities.

Key Duties:

  • Support the General Counsel/Group Secretary and Group Management on corporate and commercial law matters across all aspects of the Group's operations.
  • Provide general legal advice and support to the Group's businesses and head office functions.
  • Assist the Group Corporate Development team with legal aspects of M&A transactions.
  • Review and negotiate a wide range of commercial contracts and agreements.
  • Establish and implement contract management processes and procedures for Group colleagues.
  • Maintain a database of the Group's legal documents and a repository of relevant templates.
  • Instruct and manage external legal counsel, as necessary.
  • Support governance and reporting requirements, including board practices, disclosures, and shareholder relations.
  • Assist with legal aspects of banking/finance transactions and corporate restructuring.
  • Stay up-to-date with legal and regulatory developments and advise on any proposed changes in law that may impact the Group's commercial activities.
  • Provide support in any litigation, arbitration, or regulatory proceedings involving the Group's operations.
  • Identify potential areas of legal risk and develop strategies to minimize legal risk for the Group and its businesses.
  • Build and maintain strong relationships with key internal and external stakeholders.
  • Contribute energetically to innovation and continuous improvement.
  • Perform any other ad hoc duties as reasonably requested by the General Counsel/Group Secretary.
