Join our epic plc client and embark on a unique and exciting opportunity as an Assistant Company Secretary! They are seeking a highly motivated individual to work closely with the Company Secretary in managing company secretarial responsibilities. As part of their team, you will interface with the Board, shareholders, regulators, advisors, and other external agencies to ensure smooth operations.


  • Support the Company Secretary in managing company secretarial affairs, including the preparation of Board and Committee packs and drafting agendas and minutes.
  • Coordinate and maintain the Board pack distribution portal, ensuring accuracy and relevance of information.
  • Build and nurture excellent relationships with Company Directors and other stakeholders.
  • Facilitate induction and ongoing training for Directors, ensuring their awareness of duties.
  • Deliver annual compliance for the Group's subsidiaries, including statutory records and preparing forms.
  • Assist with PLC compliance, such as Listing Rules, Corporate Governance Codes, and Market Abuse Regulation.
  • Draft governance sections of the Annual and Sustainability Reports.
  • Prepare reports on upcoming regulatory requirements, specifically related to governance and ESG
  • Monitor changes in relevant legislation and the regulatory environment.
  • Support share plan management, AGM coordination, and risk management framework reviews.
  • Provide assistance with annual compliance policy reviews and execution of documentation/contracts.

    The Candidate:
  • Possesses 1+ years of previous PLC company secretarial experience.
  • Experience using Diligent platforms is advantageous.
  • Demonstrates strong interpersonal skills, working effectively with individuals at all levels.
  • Self-motivated and able to work proactively and independently, while maintaining discretion with confidential information.
  • Exhibits excellent organizational, written, and presentation skills.
  • Detail-oriented with a strong focus on accuracy.
