Company Secretarial Assistant - PLC

Our FTSE 250 PLC client is seeking a Company Secretarial Assistant to join the Group Company Secretarial team in one of Ireland’s leading companies. This is a permanent full-time position. The role will report to the Deputy Company Secretary and will involve providing company secretarial support, including corporate governance and regulatory compliance.

Responsibilities will include, but will not be limited to:

  • Providing support and assistance to the Group Company Secretary and Deputy Company Secretary on day-to-day company secretarial matters and specific ad hoc projects;
  • Subsidiary board meeting administration: drafting subsidiary board minutes, shareholder resolutions, changes to constitutions;
  • Maintaining statutory records and registers for Group subsidiaries on Diligent Entities;
  • Assisting with the statutory accounts preparation, approval and filing process for the Group’s subsidiaries;
  • Preparing and submitting CRO / Companies House filings for the Company and its subsidiaries;
  • Arranging execution and sealing of legal documents;
  • Preparing periodic regulatory compliance announcements and related filings;
  • Drafting routine papers for plc Board/Committee meetings;
  • Assisting with the organisation of the Company’s AGM;
  • Maintenance and updating of bank mandate records for all Group subsidiaries;
  • General administration duties as required (such as scanning, filing, binding etc)

The ideal candidate will be part-qualified with 1-2 years’ company secretarial experience in a corporate environment. Plc experience would be beneficial but is not essential.
