This role will involve: * Acting as a main point of contact for client companies. * Servicing a large and varied portfolio of companies from several jurisdictions, ensuring that their annual compliance and statutory filing obligations are attended to. * Company formations. * Arranging and attending Board and Shareholder Meetings, including preparation of board papers and minutes. * Maintaining company secretarial records (both internal and Viewpoint). * Liaising with auditors, other professional advisors and intermediaries on a daily basis.
Our client wishes to appoint an Assistant Manager to our Company Secretary & Governance Services team with a minimum of 4 years' experience.
Responsibilities:
Responsibility for a portfolio of company secretarial clients including co-ordination of service offerings from other departments
Managing a large portfolio of clients and taking responsibility for ensuring that your clients are meeting their statutory obligations, keeping up to date with filings, and producing documentation and minutes to satisfy client requirements, as required.
Advising clients in relation to their corporate compliance obligations.
Dealing with day to day queries and requests from clients, auditors, solicitors and internal staff, including company searches.
Attendance at Board meetings and the provision of support to Boards.
Drafting minutes and resolutions of the board and of the shareholders associated with various statutory changes.
Provision of general assistance on ad-hoc projects, including work related to corporate acquisitions, review of constitutional documents and registers, Summary Approval Procedures, etc.
Arranging for the preparation and filing of statutory forms at the Companies Registration Office
Responsibility for billing clients and debtor's collection to meet the department's budgetary targets.
Advising clients and the firm's other departments on statutory requirements for a diverse portfolio of clients ranging from SMEs to large multinationals and charities.
Supervising and assisting with the training and development of other members of the team.
Management and oversight of internal processes and procedures to ensure that all records for your clients are always complete and up to date.
Requirements
Relevant professional qualification, Chartered Secretary, ICSA / Governance Institute Qualifying Programme preferred
4 years' experience, ideally in a medium or large practice environment
Experience of managing relationships with clients particularly in the SME sector
Ability to work in a team environment
Ability to provide guidance to others
Excellent communication skills (written and oral)
A good understanding of company law and corporate governance standards and practices.
Demonstrable organisational skills, with strong attention to detail and focus on accurate, quality work
Excellent computer-literacy skills
Experience with Company Secretarial Software in principal requirements e.g. Diligent Entities
