Junior Legal Counsel – In-House
Financial Services
Our client is a leading fund manager in Dublin. They now wish to recruit a qualified Solicitor with a minimum of one years’ PQE in financial services/funds/regulatory environment from a leading law firm, or in-house.
Key responsibilities:
Assist with Irish fund projects (UCITS and non-UCITS): review and update and drafting of all legal documentation (prospectus, simplified prospectus/KIID, constitutive documents, application forms and material or other contracts) for the creation of new fund products and restructuring of existing ones and liaising with internal stakeholders on deliverables and product creation and ensure the proactive and timely implementation of the same.
Assist the Head of Legal (and regional Legal Teams) on any regional initiatives (product or otherwise) that require Irish legal or general legal support.
Attending all relevant board meetings and preparing board reports and documentation as required.
Monitor all new relevant legislation and where necessary provide advice to Senior Management and staff.
Assist with the provision of legal advice and ongoing services to HR, Finance, Fund Services, IT, Middle Office and Compliance and effectively manage the ongoing legal requirements of each.
Create and maintain databases of legal procedures, legal precedents, and corporate documentation to include all relevant Irish contractual documentation.
Regulatory topics:
Assistance on general compliance matters (e.g. data protection, health and safety, etc.) relating to the Irish companies and to branches in and outside Europe;
Liaison with Central Bank of Ireland and other relevant supervisors on regulatory and compliance matters, in particular, corporate governance compliance;
Monitoring and advising on legal developments in Ireland, the EU and other jurisdictions relevant to the companies’ business;
Liaison on regulatory issues with external legal counsel locally and in other jurisdictions.
Background:
Ideally candidates will have a minimum of one years’ PQE in financial services/funds/regulatory environment from a leading law firm or in-house.
A commercial approach with exceptional communication and interpersonal skills will be key.
